1. Welcome to PENTHOUSELETTERS.COM sometimes referred to as the “Service.” This is your agreement with GMCI Internet Operations, Inc., (“GMCI IOI”) owner of the Penthouse Letters Website, PENTHOUSELETTERS.COM. By joining the Website and continuing to use it you agree to be bound by all the terms and conditions of this agreement and any changes GMCI IOI may make from time to time (“Agreement”).

2. PENTHOUSELETTERS.COM (GMCI IOI) can terminate your subscription or access to all or part of the service at any time and for any reason in our sole discretion.

3. You, the subscriber, may incur some fees. Payments may be made by credit card, debit card, check or money order.

4. You authorize us to charge your credit card or other approved payment facility for all costs and charges you lawfully owe, until this Agreement is canceled or terminates. You are responsible for informing Customer Service 1-800-935-5771 (U.S.), - 24 hours, 7 days a week, of all actual or apparent breaches of security, lost cards or passwords, or unauthorized use, and remain liable for all uses until we are informed. International customers should phone (+1) 310-202-3950 - 24 hours a day, 7 days a week.

5. We may monitor your service usage, and use this information as required by any law, regulation or compulsory process or requirement. We also reserve the right to develop consumer research databases based on your use of the service. If we do so, we shall at all times comply with the applicable laws and regulations, including those of the Federal Communications Commission, then in effect.

6. Your membership entitles only you to the access and services provided by the Service. You agree that your membership and password are for your own exclusive use; that any other use, including, without limitation, providing your membership name and/or password to enable any other person to access the Service constitutes a breach of this agreement and an unauthorized use of the Service for which you are responsible. Should GMCI IOI become aware of such an unauthorized use it shall have the right, upon notice to you, and in GMCI IOI's sole discretion, to terminate your membership immediately or to suspend it for up to three (3) days, ending at midnight New York time on the third day after the suspension begins. Should your membership be terminated, you will not be liable for any charges following the effective time of termination. If GMCI IOI suspends your membership you will not receive credit for the period of suspension.

7. GMCI IOI is not liable for any damages whatsoever, for or on account of any cause or claim whatsoever, including poor service, beyond the amount paid by or on behalf of you, the subscriber, to GMCI IOI in the preceding twelve months.

8. GMCI IOI EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY WARRANTIES AS TO THE AVAILABILITY, ACCURACY, OR CONTENT OF ANY INFORMATION, PRODUCTS OR SERVICES; AND ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE.

9. All material appearing throughout PENTHOUSELETTERS.COM other than public domain material and electronic messages, is the copyrighted property of GMCI IOI or of those credited as providers. These materials are strictly for the noncommercial home use of you, the Subscriber, and except as expressly permitted in this Agreement may not be copied, redistributed or used in any way, in whole or part, without the prior written consent of the GMCI IOI Rights and Permissions Department. Subscriber accepts the Services of the GMCI IOI Websites “as is, where is” and at Subscriber’s own risk. No Subscriber may engage another Subscriber in commercial solicitation without GMCI IOI’s written consent. Subscribers are liable for the consequences of their activities and/or their breach of this Agreement notwithstanding termination of services.

10. Subscriber represents and warrants that he or she:
    1. is at least 18 years of age;
    2. will not violate any applicable laws or regulations of any state or federal legislature or regulatory body;
    3. will not redistribute the material on the site to anyone, nor permit any minor to view this material nor expose to the material any person who may find it offensive;
    4. believes that the materials viewed on the site do not offend the standards of the community in which he resides as to the candid representations of matters of sexuality and appeal to healthy and normal human interests in that regard;
    5. will not plagiarize, violate or otherwise infringe upon the trademark, copyright, or any other rights of any person, firm or entity, expressly including libel, slander or invasion of rights of privacy, publicity or “moral rights (droit moral)”.
    
    
11. Subscriber will indemnify GMCI IOI, its providers and its corporate affiliates and employees against any losses arising out of any claim which if proved true would constitute a breach of any of Subscriber’s representations and warranties above.

12. This is our only Agreement. It cannot be modified orally. This agreement and the rights of the parties to it is exclusively governed by the law applicable to contracts made and exclusively to be performed in the State of New York without giving effect to its conflict of law rules. Any lawsuit arising out of this Agreement, the Penthouse Letters website, PENTHOUSELETTERS.COM, and/or the Service may be brought only in courts located in New York County, New York, USA. GMCI IOI’s delivery of any words or programs is deemed complete at the moment access is provider to the user or subscriber and it is agreed that such access occurs in New York County, New York, USA. Upon delivery user or Subscriber assumes sole legal responsibility for causing transportation the words and images to any termination for any cause whatever.
